GEIG – SOFTWARE END USER LICENCE AGREEMENT (EULA)
Effective from: 01/08/2025
1.0 Purpose and Scope
1.1 This EULA governs your licence to use GeiG software and firmware provided for Windows, device firmware/BIOS and related software components (the “Software”).
1.2 This EULA applies to both individual consumers and business customers (one EULA for all). Where different rights apply to consumers by law, those statutory rights are preserved.
1.3 Where the Software includes or enables third-party vendor components, the applicable Vendor User Agreement also applies to those components.
2.0 About GeiG and Contact
2.1 GeiG provides the Software and related licensing access via geig.co.uk and associated distribution channels.
2.2 Service address: Riverside Business Centre, Fort Road, Tilbury, Essex, RM18 7ND, United Kingdom.
2.3 Support: support@geig.co.uk and 24/7 web chat on geig.co.uk, subject to occasional unavailability for maintenance.
2.4 The contracting entity (where applicable) is identified in the relevant order confirmation, invoice and/or installation or activation record.
3.0 Other Terms and Precedence
3.1 Related documents include the Website Terms of Use, Privacy Policy, Cookie Policy and the Terms of Sale (Consumers or Business), plus any Cloud Services Terms where applicable.
3.2 If any Vendor User Agreement applies to a vendor component of the Software, that Vendor User Agreement governs that component. In all other respects, this EULA governs your licence to the Software.
4.0 Acceptance and Licence Grant
4.1 Acceptance. You accept this EULA by (a) clicking “I Agree” during installation or checkout; (b) activating or installing the Software; or (c) using the Software. If you do not accept this EULA, do not install or use the Software.
4.2 Licence grant. Subject to your compliance with this EULA, GeiG grants you a perpetual (unless terminated under this EULA), limited, non-exclusive, non-transferable licence to install and use the Software on one designated device only (the “Licensed Device”).
4.3 The licence is device-based (not user-based). You may re-install or recover the Software on the Licensed Device as needed. Use on more than one device at a time, or multiple concurrent instances outside the Licensed Device, is prohibited unless you obtain a separate licence.
5.0 Activation and Credentials
5.1 The Software may use activation or online binding to the Licensed Device. Activation may be required for the Software to operate as intended.
5.2 Activation may require a product key, account credentials or online verification. Keep activation credentials secure and do not share them.
5.3 If online activation is unavailable, we may provide an alternative activation method or a time-limited grace period; contact support for assistance.
6.0 Permitted Use
6.1 You may use the Software for personal, commercial or educational purposes as permitted by this EULA and any Vendor User Agreement.
6.2 You must not sublicense, rent, lease, lend, distribute, sell, assign or otherwise transfer the Software except with GeiG’s prior written consent.
7.0 Prohibited Actions
7.1 You must not: reverse-engineer, decompile, disassemble or otherwise attempt to derive source code from the Software; circumvent technical protection measures; modify or create derivative works; remove or alter proprietary notices; or use the Software to create competing products.
7.2 Prohibited actions may void any warranty to the extent permitted by law and may result in licence termination.
8.0 Ownership and Intellectual Property
8.1 The Software is licensed, not sold. GeiG and its licensors retain all rights, title and interest (including intellectual property rights) in and to the Software.
8.2 All rights not expressly granted are reserved.
9.0 Updates, Upgrades and Telemetry
9.1 The Software may automatically download and install updates, security patches or new features. Updates may be required for continued use, compatibility or support.
9.2 The Software may collect error and usage telemetry to improve functionality and security. Telemetry processing is described in the Privacy Policy. An opt-out is available where technically feasible. Telemetry required for security, integrity or licensing may not be optional.
9.3 If you opt out of updates or telemetry, some functionality or support may be limited.
10.0 Third-Party Vendor Components
10.1 Vendor components included in or enabled by the Software are subject to their Vendor User Agreements and any applicable licence terms. If there is a conflict concerning a vendor component, the Vendor User Agreement governs that component.
11.0 Territory, Export Controls and Sanctions
11.1 The licence is granted worldwide unless prohibited by law. You must comply with applicable export, sanctions and trade control laws and must not use, export, re-export or transfer the Software in violation of such laws or to embargoed destinations.
12.0 Warranties and Consumer Remedies
12.1 Consumers. If you are an individual consumer, your statutory rights (including under the Consumer Rights Act 2015) are not affected by this EULA. Where statutory remedies apply to faulty digital content, those rights take precedence.
12.2 Vendor warranties. Any warranties provided for vendor components are those stated in the applicable Vendor User Agreements.
12.3 Disclaimer. Except as expressly provided in this EULA or required by law, the Software is provided “as is” and we exclude all other warranties, whether express or implied, to the fullest extent permitted by law.
13.0 Support and Maintenance
13.1 Support is available via support@geig.co.uk and web chat. Response targets and any purchased support plan terms are published on geig.co.uk or in the applicable support plan.
13.2 Support obligations (if any) are subject to payment of applicable fees and your compliance with this EULA.
14.0 Data and Privacy
14.1 Personal data processed in connection with activation, updates, telemetry or support is handled in accordance with the Privacy Policy.
14.2 You may control telemetry as described in the Software settings and the Privacy Policy.
15.0 Licence Transfer and Assignment
15.1 The licence is non-transferable to another device or person except with GeiG’s prior written consent and any required re-activation or assignment procedure.
15.2 We may assign or transfer this EULA in whole or in part where legally permitted. Where required by law, we will provide notice.
16.0 Termination
16.1 We may terminate this EULA immediately on notice if you materially breach the EULA (including unauthorised use or prohibited actions).
16.2 On termination you must stop using the Software and uninstall or delete all copies from the Licensed Device. Termination does not affect accrued rights or remedies.
17.0 Limitation of Liability
17.1 Nothing in this EULA limits liability for death or personal injury caused by negligence, or for fraud.
17.2 To the maximum extent permitted by law, our aggregate liability for all claims arising out of or relating to the Software shall not exceed the purchase price paid by you for the Software (if any). For free software, aggregate liability is limited to £100.
17.3 We are not liable for indirect or consequential losses, loss of profits, business interruption or loss of data except to the extent such losses arise from our negligence or wilful misconduct and are not excluded by law.
17.4 Consumer statutory rights are unaffected.
18.0 Trial, Beta and Preview Software
18.1 Trial, preview or beta versions may be provided for evaluation and may carry different terms (including limited support, shorter licences and separate telemetry arrangements). Use is at your own risk.
19.0 Changes to This EULA
19.1 We may update this EULA from time to time for legal, security or operational reasons. The current version is posted on geig.co.uk with the effective date. Continued use after changes constitutes acceptance where permitted by law. Significant changes will be notified where required by law.
20.0 Governing Law and Jurisdiction
20.1 This EULA is governed by the laws of England and Wales.
20.2 The courts of England and Wales have exclusive jurisdiction, save that consumers in Scotland or Northern Ireland may bring claims in their local courts.
21.0 Entire Agreement
21.1 This EULA (together with any Vendor User Agreement that applies) constitutes the entire agreement between you and GeiG concerning the Software and supersedes prior agreements relating to the Software.
